Personal Data Collection Terms with Microsoft Bookings – MT CFO PARTNERS

 

This document, titled "Personal Data Collection Terms Microsoft Booking" (the "Agreement"), is entered into and made effective as of 02/03/2025 (the "Effective Date") by and between Myriam Traore, operating as MT CFO PARTNERS, a provider of CFO services in France and internationally (hereinafter referred to as "MT CFO PARTNERS" or the "Service Provider"), and any client or data subject utilizing the Microsoft Bookings platform to schedule appointments with MT CFO PARTNERS (hereinafter referred to as the "Client").

 

WHEREAS, MT CFO PARTNERS utilizes the Microsoft Bookings tool, a service provided by Microsoft, to facilitate appointment scheduling for its clients;

 

WHEREAS, the operation of appointment scheduling via Microsoft Bookings involves the collection and processing of certain categories of personal data (including, but not limited to, name, email address, and phone number) from clients solely for the purpose of scheduling appointments;

 

WHEREAS, the personal data collected will be processed and stored within the European Union, exclusively on Microsoft systems, with Microsoft acting in the capacity of a data processor on behalf of MT CFO PARTNERS, pursuant to applicable agreements;

 

WHEREAS, MT CFO PARTNERS undertakes to comply with all applicable data protection laws and regulations, including but not limited to the General Data Protection Regulation (EU) 2016/679 ("GDPR"), regarding the lawful, transparent, and secure collection and processing of personal data;

 

WHEREAS, personal data collected during the booking process will not be used for any purposes other than appointment scheduling, will not be shared with third parties, and will be retained for a period not exceeding one (1) year from the date of collection;

 

NOW, THEREFORE, the parties hereby establish the terms and conditions governing the collection, use, storage, retention, and protection of personal data in connection with the use of Microsoft Bookings for appointment scheduling with MT CFO PARTNERS, as set forth below.

 

This Agreement shall remain in effect from the Effective Date and shall continue until such time as it is terminated in accordance with the provisions set forth herein.

 

 

1. Appointment Booking And Scope Of Data Collection

Appointment booking with MT CFO PARTNERS is facilitated through the Microsoft Bookings platform, a service provided by Microsoft. During the appointment scheduling process, certain personal data from the Client is collected. The personal data collected includes, but is not limited to, the Client's name, email address, and phone number. This data is essential for the purposes of managing and scheduling appointments effectively. It ensures that MT CFO PARTNERS can contact and communicate with the Client regarding their appointment. The collection of personal data is minimal and confined to the aforementioned details necessary for the clear and efficient arrangement of appointments.

2. Purpose And Lawfulness Of Data Processing

The purpose of collecting and processing Personal Data under this Agreement is exclusively for appointment booking with MT CFO PARTNERS via the Microsoft Bookings platform. MT CFO PARTNERS commits that the Personal Data will not be used for any other purposes, including but not limited to marketing or sending reminders. The Service Provider asserts that this data processing is conducted on the basis of the need to perform a contract, in compliance with Applicable Data Protection Laws, including but not limited to the General Data Protection Regulation (EU) 2016/679 ("GDPR"). By collecting and processing Personal Data solely for the aforementioned purpose, MT CFO PARTNERS ensures that data handling is necessary, lawful, and limited to the bounds permitted under the GDPR and other relevant data protection regulations.

3. Data Storage, Location, And Security Measures

All personal data collected through Microsoft Bookings will be stored exclusively within Microsoft's systems situated in the European Union (EU). Microsoft, acting as the Data Processor, ensures rigorous security measures to protect the data against unauthorized access, misuse, or breach. These security protocols include advanced encryption technologies, regular security audits, and compliance with relevant data security standards. MT CFO PARTNERS relies on Microsoft’s robust security infrastructure to maintain data integrity and confidentiality. Microsoft’s role as a Data Processor is strictly limited to handling personal data as per instructions provided by MT CFO PARTNERS, exclusively for the purposes of appointment scheduling. The data storage and processing arrangements are established to comply with GDPR and other applicable EU data protection laws, ensuring that any personal data collected remains secure and confidential.

4. Data Retention And Deletion

Personal Data collected during the appointment scheduling process will be retained for a period of one (1) year from the date of collection. Upon the conclusion of this retention period, MT CFO PARTNERS will ensure the secure deletion of such Personal Data from all storage systems in a manner that guarantees the data cannot be reconstructed or retrieved.

 

Clients may request early deletion of their Personal Data at any time by submitting a written request to MT CFO PARTNERS. Upon verifying the authenticity of the request, MT CFO PARTNERS will delete the requested data within a reasonable timeframe, not to exceed thirty (30) days from receipt of the request. MT CFO PARTNERS will also provide confirmation to the Client that the deletion has been completed.

 

MT CFO PARTNERS will deploy necessary technical and organizational measures to ensure Personal Data is deleted securely, including but not limited to the use of data erasure tools compliant with industry standards and regular audits to verify deletion processes.

 

Any data retained beyond the specified retention period for legal or regulatory compliance requirements will be securely stored and access will be restricted strictly to individuals with necessary authorization, ensuring that the data remains protected until it is securely deleted.

5. Data Subject Rights (Access, Rectification, Erasure, Restriction)

Clients, referred to as Data Subjects, have the following rights concerning their Personal Data collected and processed via Microsoft Bookings for scheduling appointments with MT CFO PARTNERS:

 

1. Right of Access: Clients have the right to request and obtain a copy of their Personal Data being processed by MT CFO PARTNERS. Such requests can be made by contacting MT CFO PARTNERS directly through the provided contact information.

 

2. Right to Rectification: Clients have the right to request corrections to any inaccuracies in their Personal Data. Upon receipt of such a request, MT CFO PARTNERS will promptly update and correct the relevant Personal Data to ensure accuracy.

 

3. Right to Erasure: Clients have the right to request the deletion of their Personal Data, commonly known as the 'right to be forgotten'. MT CFO PARTNERS will comply with such requests, provided there are no overriding legitimate grounds for the continued processing of the data.

 

4. Right to Restriction of Processing: Clients have the right to request the restriction of processing their Personal Data under certain conditions, such as while a request for correction is being processed, or if the accuracy of the data is contested.

 

To exercise any of these rights, Clients should submit a written request to MT CFO PARTNERS. Requests will be handled promptly, in accordance with applicable legal requirements, and any necessary actions will be executed to fulfill the rights of the Data Subject. MT CFO PARTNERS may require identification verification to process such requests and ensure the security of Clients' Personal Data.

6. Duties And Responsibilities Of MT CFO PARTNERS As Data Controller

As the data controller, MT CFO PARTNERS (the 'Service Provider') holds key responsibilities and obligations under Applicable Data Protection Laws. These duties ensure the lawful, fair, and transparent processing  of personal data collected through the Microsoft Bookings platform. These are outlined as follows:

a. Lawful Basis for Processing: MT CFO PARTNERS must ensure that all personal data collected has a lawful basis for processing, in accordance with GDPR and other Applicable Data Protection Laws.

b. Transparency and Communication: MT CFO PARTNERS is obligated to provide clear and concise information to data subjects (Clients) about the purpose and scope of data collection, as well as their rights under GDPR.

c. Data Security: MT CFO PARTNERS must implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk, including protection against unauthorized or unlawful processing and accidental loss, destruction, or damage.

d. Data Minimization: MT CFO PARTNERS commits to collecting only the data that is necessary for the purposes of appointment scheduling, as outlined in the respective sections of this Agreement.

e. Data Retention: As specified in the 'Data Retention and Deletion' section, MT CFO PARTNERS will retain personal data no longer than is necessary for the purposes for which the data was collected.

f. Data Subject Rights: MT CFO PARTNERS is responsible for enabling data subjects to exercise their rights, as specified in the 'Data Subject Rights (Access, Rectification, Erasure, Restriction)' section. This includes timely responses to requests regarding access, rectification, erasure, and the restriction of data processing.

g. Record Keeping: MT CFO PARTNERS must maintain records of all data processing activities under its responsibility, as required by Applicable Data Protection Laws.

7. Role Of Microsoft As Data Processor

Microsoft acts solely as a Data Processor for MT CFO PARTNERS within the scope of services provided through Microsoft Bookings. As a Data Processor, Microsoft processes client data exclusively on behalf of MT CFO PARTNERS and strictly in accordance with the instructions provided by MT CFO PARTNERS. Microsoft is obligated to ensure proper implementation of technical and organizational measures to secure the personal data processed. Microsoft shall not use the client data for its own purposes nor share it with third parties, except as required by law or as instructed by MT CFO PARTNERS. Furthermore, Microsoft shall provide assistance to MT CFO PARTNERS in ensuring compliance with data protection obligations under the GDPR, including data subject rights requests and data breach notifications.

8. Restriction On Data Sharing And International Transfers

MT CFO PARTNERS affirms its strict policy of non-disclosure of Personal Data collected via Microsoft Bookings to any third parties, including Microsoft or other service providers, for their independent use. All Personal Data will be processed solely for the purpose of scheduling appointments as necessary to perform MT CFO PARTNERS services. Furthermore, MT CFO PARTNERS ensures that no Personal Data will be transferred outside of the European Union. All stored data remains within EU-based Microsoft systems, consistent with GDPR requirements and other applicable data protection regulations. MT CFO PARTNERS commits to these practices to safeguard the privacy and integrity of the Client’s personal data.

9. Limitation Of Liability

To the maximum extent permitted by applicable law, MT CFO PARTNERS shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages arising from or relating to the processing of personal data through Microsoft Bookings. This limitation of liability includes, but is not limited to, any errors, omissions, interruptions, defects, delays in operation or transmission, or any other performance failures of Microsoft systems. MT CFO PARTNERS shall not be liable for any unauthorized access to or alteration of Client's data, nor for any breach of security attributable to Microsoft's infrastructure as the data processor. The Client acknowledges and agrees that the use of Microsoft Bookings is at their own risk, and MT CFO PARTNERS's total aggregate liability, if any, shall not exceed the amount paid by the Client for the services provided within the last twelve (12) months preceding the event giving rise to the claim.

10. Amendments And Updates To Agreement

MT CFO PARTNERS reserves the right to amend or update the terms of this Agreement at any time to ensure its continued compliance with applicable laws, regulations, or business practices. Any amendments or updates to the Agreement will become effective upon their posting on the MT CFO PARTNERS website or other written notification provided to the Client. Continued use of Microsoft Bookings for appointment scheduling by the Client after such amendments or updates have been made shall constitute acceptance of the revised terms. Should there be significant changes, MT CFO PARTNERS will provide prior notice to the Client where feasible. Additionally, Clients are encouraged to review the Agreement periodically to ensure awareness of any modifications.

11. Term And Termination

This Agreement shall commence on the Effective Date and shall remain in effect until terminated by either party with thirty (30) days' written notice to the other party. MT CFO PARTNERS reserves the right to terminate this Agreement immediately in the event of a material breach by the Client that remains uncured after fifteen (15) days' written notice. Upon termination, all personal data collected under this Agreement shall be handled in accordance with the Data Retention and Deletion policies outlined in Section 4. Any provisions of this Agreement that, by their nature, should survive termination shall so survive.

12. Governing Law And Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law principles. Any disputes arising out of or in connection with this Agreement, including any questions regarding its existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts located in France. MT CFO PARTNERS and the Client agree to submit to the personal jurisdiction of these courts for the resolution of any such disputes. This provision does not limit the rights of data subjects to bring claims under Applicable Data Protection Laws, as defined in Clause 2, in their home jurisdictions if such rights are conferred by those laws.

 

IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed as of the Effective Date by their duly authorized representatives.
